The Seller mandates that all offers be submitted online through the online offer process. Offers that have not undergone the online offer process will not be reviewed or presented, as per our instructions.

Should you be submitting an offer from a different time zone than the property’s, it is imperative to adjust your computer’s clock to guarantee the timely submission of your offers.
It is strongly discouraged to use a mobile phone for submitting offers. If you choose to do so, it is necessary to refresh your screen for accuracy.
Upon creating your account, you are consenting to both the acceptance and the understanding of the Terms and Conditions governing the online offer process and the WhiskeyKiddRealty.com offer platform.

Moreover, either Proof of Funds for cash payments or a Pre-approval letter along with DU findings and/or Pre-Approval letter no more than 14 days old from a Mortgage Lender must be provided before being approved and granted access to the live offer platform. Registration and documentation must be received no later than 5:00 pm PST on the final day of the home preview period.

Failure to register or provide suitable documentation by 12:00 pm PST on the final day bidding will render you ineligible to place an offer on a property during the final hours of the live bidding process.

We also highly recommend that you or your agent log in to your account prior to the end of the home preview period deadline for the property you intend to make an offer on. Familiarity with the necessary steps and functionalities for placing an offer is crucial. Please note that technical or agent support will not be available after 5:00 pm PST on the final home preview day or during the live online offer submission period.

Upon acceptance to the online offer platform, you will be granted access to make offers on properties that match your criteria.

Collaboration with a licensed Real Estate Agent is mandatory. Following a successful offer, a signed CAR contract, prepared by a licensed Agent from California, must be submitted within 12 hours. Earnest money must be deposited with escrow within the first 3 days. Failure to deposit earnest money into escrow within 3 days following a mutually signed and fully executed CAR contract shall result in a penalty of up to $1,000 being forfeited for breach of contract.

A licensed Real Estate Agent representing the buyer is responsible for preparing CAR documents and submitting to Whiskey Kidd Realty for review and execution.
If you are partnered with an Agent, the registration page will offer the option to enter their contact details. Our agents will then get in touch with them to brief them on the online offer procedures.

What is the “Buyer’s Premium”? Through the WhiskeyKiddRealty.com option, real estate commission is administered in the form of a “Buyer’s Premium.” This percentage ranges from 0% to 8% of the “Final/Highest Offer Price” (not the Final Sales Price). The final sales price is computed as follows: Highest Offer + Buyer’s Premium = Final Sales Price. The Buyer’s Realtor Fees are deducted from the Buyer’s Premium to pay the commission for the Buyer’s agent.

This approach provides utmost transparency, allowing sellers to offer the lowest price for their home while adequately compensating the real estate agents who represent, facilitate, and conclude the transaction.

Each property listed on our website will present distinct terms, conditions, and a specific buyer’s premium, thus thorough research of the property details on the offer page is advised.
Properties will be open for viewing solely on the specified day(s) of the open house, unless stipulated otherwise.

Buyers must secure approval from the seller or seller’s agent prior to manually submitting offers.
Sellers maintain the right to accept, negotiate, or reject the highest offer.
An online offer constitutes a binding agreement, and sellers are within their rights to pursue non-performing offerors legally.

Offer Extension Mechanism

Our system employs an automatic offer extension feature to prevent last-second bids. If a bid is placed within 5 minutes of the designated offering end time, the system will automatically extend the offering period by an additional 5 minutes. This ensures that other potential offerors have a fair chance to respond.

Attention to Winning Offerors

If your bid emerges as the winning offer, kindly ensure that your agent submits a signed purchase agreement to the seller within the time frame specified in the “sale terms and conditions” (please refer to the posted details). If you lack an agent, please contact us.

The contract price is computed as follows:

Winning Offer + Buyer’s Premium = Contract/Sales Price

Notice for Winning Offerors

If you happen to be the winning offeror when the online offer submission period concludes and you choose not to proceed with submitting a contract, please be aware that this constitutes a breach of our terms of use for our online offer submission system. In such a case, you shall be subject to a withdrawal penalty fee of up to $1,000. This amount will be invoiced to you. Failure to pay the invoice will be prosecuted as a breach of contract.

Arbitration

In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms and Conditions, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding or arbitration arises out of or concerns these Terms and Conditions, the prevailing party shall be entitled to recover its costs and reasonable attorney’s fees. The parties agree to arbitrate all disputes and claims in regards to these Terms and Conditions or any disputes arising as a result of these Terms and Conditions, whether directly or indirectly, including Tort claims that are a result of these Terms and Conditions. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms and Conditions.

Class Action Waiver

Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and Whiskey Kidd Realty agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
 
Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Whiskey Kidd Realty with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Whiskey Kidd Realty with respect to the Site.
